This document provides an overview of The Artery’s terms and conditions for creatives who work with Innovate Educate Limited on The Artery Projects. This is a summary of the key points in our Terms and Conditions. We will issue a contract for each project which will include an addendum with the details of the contract terms agreed with our clients.
1. Overview
- By joining our network, you’re agreeing to these terms when working on any creative project for our clients. We’ll always give you a clear project brief before anything begins.
2. Key terms explained
- Addendum A mini agreement for each project that includes deadlines, fees, and the details of the work.
- Creative Materials Everything you create as part of that work.
- Creative Services The work you do for our clients (like design, writing, photography, etc.).
- Fees What we pay you.
3. Working together
- Both parties recognize that you are an independent freelancer, not an employee of Innovate Educate Ltd.
- The Artery does not promise constant work, and you’re free to say no to any project.
- When we agree on a project, we’ll both sign a Contract and Addendum.
- You cannot act on behalf of The Artery in terms of signing contracts, spending money, or speaking for us publicly.
4. What each side agrees to
- You manage your own taxes, insurance, and any legal obligations (like VAT).
- Innovate Educate Ltd will not provide employee benefits (like sick pay or holidays).
- If HMRC ever asks us to cover your taxes, we are entitled to claim that back from you.
5. Professional conduct
When you take on a project, we expect:
- Great work, delivered on time.
- Punctuality. Let us know as soon as possible if you’re unwell or can’t deliver something.
- Be professional and respectful with us and our clients.
- Follow any project briefs and key policies we share with you.
- Keep everything safe, legal, and in line with relevant laws.
6. No conflicts, please
Please don’t take on work that would be a conflict of interest or help a direct competitor. The Artery is a virtuous circle designed to support a wider group of artists through business support and providing new income streams by working with our business clients. It takes a large investment of time to secure business clients. Please respect this and don’t approach our clients for additional work when acting for and with The Artery.
7. After a project
For 12 months after finishing a project, please don’t:
- Pitch or work directly for our clients.
- Sell them work that was part of a project with us.
(Unless you’ve got our written permission.)
Talk to us about any potential further work.
8. Deadlines and communication
If we’ve agreed on deadlines, they matter.
Keep us in the loop and share progress updates and/or timesheets if we ask.
9. Getting paid
You’ll be paid as outlined in your project’s Addendum.
If paid by the hour, you’ll need to track your time and submit it.
We will agree payment intervals for each project, and we’ll pay you within 30 days.
Expenses are only covered if we approve them before you spend.
10. If things go awry
If your work isn’t up to scratch or you break the terms, we may stop the project or reduce your payment.
11. Who owns what
We make every endeavour to ensure you keep the rights to your work – but:
You give us and our clients permission to use it as part of our services.
You also agree to let us use it for marketing and promotion.
In some instances, we may have to assign copyright to our clients to ensure we get the work. We will discuss this prior to any work commencing.
We’ll make sure you are credited where your work appears.
We will make all possible endeavour to ensure that the client is only entitled to use the finished work, and not re-edit or re-purpose without our written consent.
Anything we provide (like templates or branding) remains ours.
12. Respecting confidentiality
Please treat anything we share with you (plans, pricing, strategies, etc.) as private.
Don’t share it or use it for anything outside of the commissioned project.
This applies even after we stop working together.
13. Ending the agreement
We can end this agreement with 14 days’ notice.
If something serious goes wrong, either of us can end it straight away.
14. After we part ways
If we stop working together:
- You’ll stop work immediately.
- We’ll pay any final invoices (minus anything we’re allowed to deduct).
- You’ll return or delete any confidential info we gave you.
15. A few final bits
This agreement is governed by English law, and any disputes will be handled in England and Wales.
Both parties agree to be professional and work together in good faith, at all times.
If something in this agreement doesn’t hold up legally, the rest still applies.
