Terms and conditions for our business clients

This document provides an overview of The Artery’s terms and conditions for our business clients. This is not a legal document, just a guide to the key points in our Terms and Conditions. We will issue a contract for each project which will include an addendum with the details of the contract terms agreed with our clients.

1. Overview

This is a legal agreement between you (the customer) and Innovate Educate Limited. By using our services, you agree to follow the terms in this agreement.

2. Key terms explained

  • Addendum: A separate document that outlines the specific project, services, deadlines, and costs.
  • Company: Innovate Educate Limited.
  • Company Services: Creative services the company provides.
  • Company Materials: All creative work (like designs, videos, documents) made during the project.
  • Confidential Information: Sensitive information that should be kept private.
  • Fees: What you’ll pay for the services.
  • Creative: A person working with the company to provide creative services.
  • Personal Data: Info that can identify a person, like name or contact details.
  • Project Deadlines: Important dates the company agrees to meet.

3. Working Together

  • The Artery helps businesses grow by developing a bespoke creative process, working alongside experienced or early career (as appropriate) creatives, to address a specified business issue.
  • The Artery and the client will agree an Addendum for each project.
  • Only the terms in this agreement and the Addendum apply, nothing extra from emails or other documents.

4. What each side agrees

The Company will:

  • Do the work with care and professionalism.
  • Meet agreed deadlines.
  • Respect your business operations.

You will:

  • Be respectful and cooperative.
  • Provide access to any agreed facilities.
  • Follow the company’s policies (like safety and data protection).
  • Comply with laws, including anti-bribery and data protection.

5. Payment

  • You agree to pay the agreed fees as listed in the Addendum.
  • Payments are due within 21 days of receiving an invoice.

6. Ownership of work

  • The company (and its creatives) own the rights to all work created.
  • You will receive a non-exclusive licence to use the materials for internal purposes only (as agreed).
  • You can’t use the work commercially or publicly without written permission.
  • Credits must be given to the creatives, and the company will also credit your help when using the work.
  • The work is the piece of work commissioned. The client may not re-edit the work or re-present any part of the work without prior written consent. This is to protect the professional integrity of the artists and work the commissioned.

7. Data protection

  • You must follow data protection laws and the company’s data policies.
  • Only use personal data for the agreed purpose.
  • Keep data safe and notify the company of any data breaches.

8. No poaching please

The artists we engage on our projects are taking part in The Artery Peer Support programme. The Artery is a virtuous circle which supports creatives to gain business skills. It is against the ethos of working with The Artery to approach the creatives to work directly with you for 12 months after a project ends, unless The Artery agrees.

9. Respecting confidentiality

You must keep company info private and secure.
Exceptions: if it’s already public, received legally from another source, or required by law.

10. Ending the Agreement

  • The company can end the agreement with 14 days’ notice.
  • Either side can end it immediately if the other breaks the agreement and doesn’t fix it within five working days.
  • It automatically ends after ten years.

11. What happens when it ends

  • The company will stop working.
  • Your right to use the materials ends.
  • You must return or destroy confidential info.
  • You must pay any outstanding invoices.

12. Other legal bits

  • This is an overview of the agreement anything not written in the contract and Addendum doesn’t count.
  • If any part is invalid, the rest still stands.
  • If there’s a dispute, both sides will try to resolve it through mediation before going to court.
  • Only courts in England and Wales can settle disputes.
